Anyone know if it is ok to sell an old laptop with the Windows XP installation CD that came with it. I'm guessing possibly not as it says 'for distribution only with a new HP or Compaq PC' in bold on the CD. So my other question is, is it ok to sell the laptop with XP installed, or do I have to wipe the disk before sticking it on fleabay?

If the disc came with the laptop you should include the disc in the sale or else the buyer would have no way of restoring their computer if they got a virus or other major corruption.

You're not selling the disk - you're including it with the PC, the notice is to show the difference between a boxed windows licence and a licence meant to be bundled with a PC (which is cheaper).
 
If the CD came with the computer new then include it in the sale, the licence for XP is for that computer so there is no bar to including it - the second owner of the computer does not have to buy a new operating system licence if the original one is included with the computer.
