Advantage of being a Director?

A don't forget the bit when your in the pub telling people your a director of a company. The girls love it lol.

Being a Director with shareholdings does benefit you in other ways in that you will have a much stronger vested interest in the performance of the company. The better it does then ultimately the better your return, in most cases.

Whilst being a "Director" and having a "Shareholding" are different things it is quite usual for the Memorandum and Articles of a Private Company to specify that all directors must also be shareholders - this can be arranged by them having a very small shareholding (even 1 share) but this does not necessarily carry any rights or benefits and is basically worthless. In a private company the Memo & Articles usually requires someone selling shares to offer them to the other shareholders in proportion to their existing holdings - they cannot be sold on the open market. It is often argued that in respect of a small shareholding the value of a £1 share is worth only £1 regardless of the asset value of the company - as I said before you do need independent advice ( which you have said you are now obtaining )!
